· Uniondale· Manhattan· Albany We are seeking an experienced C&I Finance Attorney with 3+ years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role offers the opportunity to work on complex deals and provide strategic counsel to a diverse client base. You will serve as a primary point of contact for institutional lenders, regional banks, and corporate borrowers, managing complex C&I transactions from initial term sheet to post-closing compliance.
• Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements.• Draft, review, and negotiate financing documents, including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements.• Draft, review, and negotiate purchase/sale agreements and joint venture agreements.• Manage due diligence, including title, survey, and lease review, as well as collateral matters for C&I loans (corporate structure, lien searches).• Manage and coordinate all aspects of C&I commercial finance closings.
