The Paralegal role supports corporate compliance, governance, and internal legal operations to help maintain the legal health of a growing, multi-state and international organization. This role partners closely with executive leadership and external legal advisors to ensure corporate records, registrations, and governance documentation are accurate, current, and aligned with business needs.
The ideal candidate combines strong organizational skills, attention to detail, and sound judgment to manage complex information, support compliance requirements, and contribute to the continuous improvement of internal legal processes.
Key Responsibilities
- Manage corporate compliance activities, including entity formations, state and international registrations, foreign qualifications, withdrawals, and annual filings.
- Maintain and organize corporate records, including formation documents, amendments, bylaws, operating agreements, ownership records, and entity structures.
- Prepare, organize, and maintain board and shareholder materials, including minutes, resolutions, and governance documentation.
- Support ongoing compliance with applicable state and regulatory requirements across domestic and international operations.
- Coordinate with executive leadership, finance, and external legal advisors on corporate governance, compliance, and internal legal matters.
- Track and manage compliance calendars, deadlines, renewals, and reporting obligations to ensure timely and accurate filings.
- Assist with intellectual property administration, including tracking patent trademarks and registrations, renewals, and related documentation.
- Support internal legal initiatives related to company growth, including new market entry, entity expansion, restructurings, and cleanup of legacy corporate records.
- Drive continuous improvement of legal documentation, recordkeeping, and compliance processes to enhance accuracy, consistency, and efficiency.
- Provide ad hoc legal and administrative support to internal stakeholders as business needs evolve.
Qualifications
Education & Experience
- Bachelor’s degree or equivalent experience in paralegal studies, legal studies, business administration, or a related field.
- 3+ years of experience in a paralegal, corporate compliance, or legal operations role.
- Experience supporting multi state and international entities is preferred. Skills & Competencies
- Strong organizational and document management skills with exceptional attention to detail.
- Working knowledge of corporate governance, entity management, and compliance requirements.
- Ability to manage multiple priorities and deadlines in a fast paced, growing organization.
- Clear written and verbal communication skills with the ability to work effectively across teams.
- Proficiency in Microsoft Office and document management systems.
- Business minded approach with the ability to balance legal requirements and operational needs.
- NetSuite experience preferred
