Exus Renewables is looking for an experienced full-timeLegal Compliance Counselwho will play an integral role in providing Legal and Compliance support to all functions of a dynamic and rapidly growing renewable energy company. This role will report to the General Counsel of the company.
Please note: this is a fully onsite role with 4 days in office, 1 day remote, with reasonable flexibility in our Pittsburgh office.
General Description And Duties
- Provides legal advice and counseling on a broad range of legal issues that arise in privately-held renewable energy asset management and development company, with a goal of enabling the company’s objectives while managing legal and compliance risk.
- Manage the legal contract review and approval process.
- Helps manage corporate governance processes.
- Drafts, implements, and manages legal and compliance policies.
- Trains and educates various functions on legal and compliance issues.
- Creates and manages legal and compliance policies, processes, and tools.
- Drives implementation of continuous improvements to Legal & Compliance function.
- Ongoing review and monitoring of compliance obligations under project contracts and debt agreements and coordinate compliance with requirements relating to periodic deliverables and evaluation of and response to material events notices and required actions
- From time to time, advises on potential complex business transactions, such as project acquisitions, and overseeing outside counsel as necessary.
- From time to time, drafts, negotiates, and interprets various types of commercial contracts, including sales agreements, supply agreements, consulting agreements, and non-disclosure agreements.
Education and Experience Requirements:
- Juris Doctorate degree from accredited U.S. law school required.
- Active bar membership in good standing.
- 8+ years’ experience as a practicing attorney required; preferably with some in-house experience.
- Experience with contracts and commercial transactions required.
- Experience in renewable energy industry a significant plus.
