About the role
- We are seeking an experienced and versatile Senior Counsel to provide legal advice on a wide range of corporate, contractual, insurance regulatory and operational issues to support the development and future growth of Anza's new mortgage insurance business. This role will collaborate with and provide legal support to all functional areas of Anza, as and where needed to ensure the success of shifting priorities. As a technology-forward company, our ideal candidate will embrace and leverage technology to effectively deliver top-notch in-house legal services. To be successful in this role, the candidate must be highly self-directed and capable of operating independently in a fast-paced environment. As one of our first legal hires, the Senior Counsel will join a high-impact legal team during Anza's most critical development stage. What you"ll do
- Operational Excellence: Help build an efficient legal team in support of Anza's corporate and mortgage insurance regulatory and operational needs by developing and implementing templates, playbooks, and workflows to drive efficiency and scalability. Support implementation of compliance programs, assist in developing and implementing company policies and procedures, deliver legal training and track certain compliance matters.
- Commercial Contracting: Review, negotiate, and advise on all commercial contracts, including SaaS subscription agreements, technology integration agreements, technology licenses, professional services agreements, vendor agreements, and NDAs.
- Corporate Governance: Support the Corporate Secretary function on all corporate governance matters.
- Insurance Regulatory/GSE Approval: Provide legal support in connection with applications of new mortgage insurance company to obtain state insurance licenses and approvals to become GSE-approved mortgage insurance provider. Ongoing collaboration with Senior Regulatory Compliance Analyst to support state insurance rate and form filings and various other state insurance regulatory filings, including Holding Company Act filings.
- Expertise: Stay up to date on relevant insurance laws, regulations, and industry best practices affecting U.S. mortgage insurers and ensuring the company's operations comply with applicable requirements. Identify, analyze and provide advice on other core legal risks impacting a mortgage insurer's business and operations, including cybersecurity, privacy, FCRA, termination and cancellation of private mortgage insurance under the federal Homeowners Protection Act of 1998, and anti-kickback provisions of RESPA, among others. Make training presentations as needed on these topics to operations and other personnel.
- Judgment: Navigate risk with sound judgment and strategic decision-making. Be proactive, with a strong sense of ownership, including efficiently managing projects by defining scope, setting milestones, delegating tasks, and tracking progress. Be enthusiastic about technology and enjoy being continually challenged.
- Approach: Strong work ethic and a keen eye for detail and professionalism. Develop an in-depth knowledge and understanding of Anza's business, its short and long-term goals, customers, competitors, and regulatory environment, to identify trends, stay abreast of material developments and provide effective legal advice and manage and mitigate legal and regulatory risk to the company.
- Collaboration: Work cross-functionally to support revenue growth and strategic initiatives. Develop a strong rapport and working relationship with business counterparts across the enterprise to help drive the delivery of effective legal services.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in good standing.
- At least 8-10 years of combined law firm and in-house experience, preferably at a public company.
- Must have history of handling the breadth of legal matters that correspond to most areas of responsibility required for the Senior Counsel role.
- Must be a genuine self-starter, with a proactive mindset and the ability to navigate ambiguity in a fast-paced startup environment. Career history demonstrates consistent growth (more complexity, new areas of law, new skills), flexibility (pivot to new projects, shift priorities, drop projects after significant efforts), and will prioritize team goals above their individual success (embodies a work ethic that “no job is too small”).
- Highly skilled at partnering with legal and non-legal stakeholders to deliver business-oriented legal solutions, while appropriately managing legal risks.
- Prefer candidates with prior experience in private mortgage insurance, state insurance regulation, high loan-to-value residential mortgage lending or servicing, banking, Fin-Tech and/or other highly regulated financial services sectors.
- Prefer candidates with experience handling:
- Corporate governance
- Commercial contracts (e.g., SaaS subscription agreements, vendor agreements, NDAs); and
- Federal and state consumer-privacy laws, including GLBA, and cyber- and information-security laws.
